DataCamp AI Transparency and Acceptable Use Addendum

This AI Transparency and Acceptable Use Addendum ("AI Addendum") forms part of the Agreement between DataCamp, Inc. ("DataCamp") and Customer. Capitalized terms not defined herein have the meanings given in the Agreement. For purposes of this Addendum, the terms "high-risk AI system," and "prohibited AI practices" have the meanings given to them in the EU AI Act. In the event of any conflict between the provisions of this AI Addendum and the Terms, the provisions of this AI Addendum will prevail.

1. DataCamp's AI Deployment

(a) This AI Addendum governs how DataCamp integrates and deploys AI Features.

(b) DataCamp is a deployer of third-party AI Systems integrated into the Services. The third-party providers of AI Systems remain responsible for compliance obligations applicable to AI model providers.

(c) DataCamp will comply with AI Laws governing its provision and deployment of AI Features as part of the Services. DataCamp reserves the right to modify, suspend, or discontinue AI Features including, as necessary to ensure compliance with applicable AI Laws.

(d) The Services, including AI Features, are designed and provided solely for the purpose of professional upskilling. They are not designed, intended, or authorized for use as High-Risk AI Systems within the meaning of Article 6 and Annex III of the EU AI Act, nor for making legally binding, safety-critical, or other high-risk decisions affecting individuals.

(e) DataCamp will not deploy AI Features for any purpose that would constitute a Prohibited AI Practice under AI Laws.

2. UX Transparency

(a) DataCamp will ensure that Business Users interacting with AI Features are informed that they are interacting with an AI System, unless this is obvious from the point of view of a reasonable person, taking into account the circumstances and the context of use, where required under AI Laws.

(b) A list of DataCamp's third-party providers of Generative AI Tools is available as part of DataCamp's subprocessor list published in the DataCamp Trust Center. DataCamp will provide Customer with notice of any new or replacement third-party provider of Generative AI Tools in accordance with the subprocessor notification provisions set forth in Section 2 of the Data Processing Addendum.

3. Customer Use Restrictions

(a) Customer acknowledges that the AI Features generate AI Outputs.

(b) Customer acknowledges that AI Features and AI Outputs are assistive tools only. Customer is responsible for independently evaluating AI Outputs prior to reliance, including with respect to AI-generated code, learning assessments, and learning path recommendations and for ensuring meaningful human oversight over any decisions informed by AI Outputs.

(c) Customer acknowledges that AI Outputs may contain inaccuracies and should be independently evaluated prior to reliance.

(d) Customer shall not:

  • (i) represent that DataCamp's AI Features are certified, approved, or intended for high-risk or regulated decision-making contexts;
  • (ii) rely on AI Outputs as the basis for decisions producing legal or similarly significant effects on individuals; or
  • (iii) use AI Features to make or support automated decisions relating to employment, promotion, termination, compensation, admissions, eligibility, or similar determinations;
  • (iv) use AI Features to infer or process sensitive personal attributes, including Sensitive Information, and health, biometric, genetic, political, or religious characteristics;
  • (v) use AI Features in connection with any Prohibited AI Practice under AI Laws;
  • (vi) use AI Features as part of, or in connection with, a High-Risk AI System; or
  • (vii) use AI Features in a manner that violates AI Laws or infringes the rights of third parties.

(e) Customer shall defend, indemnify, and hold harmless DataCamp against any third-party claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) Customer's violation of any provision of Section 3 of this Addendum, including any prohibited use of AI Features or AI Outputs; or (b) Customer's reliance on AI Outputs for high-stakes, employment-adjacent, legal, medical, financial, or other consequential decisions in violation of the terms of this Addendum.

(f) WITHOUT LIMITING SECTION 17 OF THE TERMS, DATACAMP MAKES NO WARRANTY, EXPRESS OR IMPLIED, AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, CURRENCY, OR FITNESS FOR ANY PARTICULAR PURPOSE OF AI OUTPUTS. AI OUTPUTS ARE PROBABILISTIC IN NATURE, MAY VARY FOR THE SAME OR SIMILAR INPUT, AND MAY NOT BE UNIQUE. IDENTICAL OR SUBSTANTIALLY SIMILAR OUTPUTS MAY BE GENERATED FOR OTHER CUSTOMERS. DATACAMP SHALL HAVE NO LIABILITY ARISING FROM CUSTOMER'S RELIANCE ON AI OUTPUTS WITHOUT INDEPENDENT EVALUATION.

4. Use of Inputs and Personal Data in AI Features

(a) DataCamp will not process Inputs or Personal Data of Business Users for purposes of training any third party Generative AI Tool without Customer's prior written consent.

(b) DataCamp will not process Personal Data of Business Users within any AI Feature without Customer's prior written consent. Customer acknowledges that certain AI Features may be enabled or configured by Customer within the Services, and that enabling such functionality will constitute Customer's written consent to the processing of Customer's data and information, including Inputs and Personal Data as necessary to provide and support the AI Features in accordance with the Agreement.

(c) Notwithstanding the foregoing, nothing herein will limit DataCamp's use of Statistical Data to provide, maintain, and improve the Services, including AI Features, in accordance with the Agreement.

5. Intellectual Property Rights in AI Inputs and Outputs

(a) Customer retains ownership of any Inputs.

(b) Customer acknowledges that AI Outputs generated through the Services are derived from, incorporate, and adapt DataCamp Intellectual Property, including proprietary educational content, curriculum, and methodologies using the underlying AI Features. As between the parties, DataCamp retains all right, title, and interest in and to the AI Outputs, the Services, AI Features, and all related intellectual property.

(c) Subject to Customer's compliance with the Agreement, DataCamp grants Customer a non-commercial, non-exclusive, non-transferable license to use AI Outputs solely for Customer's internal educational and training purposes in connection with the Services.

(d) For clarity, AI Outputs do not constitute standalone generative works created exclusively from Customer Inputs, but rather customized manifestations of DataCamp Intellectual Property, including its pre-existing content and learning systems. Nothing in this Addendum transfers ownership of DataCamp Intellectual Property to Customer.

6. Definitions

(a) "AI Features" means any Generative AI Tools integrated within DataCamp's Services.

(b) "AI Laws" means any applicable laws, regulations, or rules specifically governing the provision, deployment, or use of the AI Features, including: (a) the EU AI Act; (b) the Colorado Artificial Intelligence Act (Colorado SB 205), as amended; and (c) any other jurisdiction-specific AI legislation applicable to the AI Features.

(c) "AI Outputs" means output or responses to Business Users resembling human created content in response to Inputs.

(d) "AI System" means any machine-based system designed to operate with varying levels of autonomy that exhibits adaptiveness after deployment and that can generate outputs and content, based upon a model, in contrast to providing responses which are exactly as pre-approved or reciting information contained within a dataset, including such commercial systems developed and maintained by third-parties.

(e) "EU AI Act" means Regulation (EU) 2024/1689 (EU Artificial Intelligence Act).

(f) "Generative AI Tools" means an AI System included in the Services that relies on large language models that create AI Outputs.

(g) "Inputs" means User Content, including data or other materials, submitted by Customer or its Business Users to the AI Features.
